Affiliate Program Terms

These Affiliate Program Terms (the "Terms") govern participation in the DietsMD Affiliate Program operated by Aios Inc., doing business as DietsMD, a Delaware corporation ("DietsMD," "we," or "us"). By applying for, accessing, or participating in the program, you agree to these Terms.

1. Eligibility and approval

Participation is by application and approval only. DietsMD may approve, reject, suspend, or terminate an affiliate account at its discretion. Affiliates must be at least 18 years old, provide accurate registration, tax, payment, and contact information, and comply with these Terms, applicable law, and platform rules.

Approval does not create an employment, agency, franchise, partnership, healthcare-provider, or joint-venture relationship.

2. Commission structure

• 15% commission on qualified referred purchases.
• 30-day referral tracking window.
• $50 minimum approved-commission payout threshold.
• Net 30 payment terms.
• Commission is calculated on qualifying product subtotal after discounts. Shipping and taxes are excluded.
• Self-purchases are not commissionable.

Tracking and attribution are determined by GoAffPro and DietsMD records. Referrals must be properly tracked through an authorized affiliate link or code. DietsMD is not responsible for attribution lost because of deleted cookies, privacy settings, ad blockers, incorrect links, or technical issues outside its reasonable control.

3. Qualified purchases and reversals

A qualified purchase must originate through an authorized affiliate link or code, be successfully paid and completed, comply with program rules, and remain eligible after refund and cancellation review. A referral does not guarantee that a customer will qualify for treatment; medical eligibility is determined independently by a licensed medical provider.

No commission is owed on refunded, canceled, returned, disputed, charged-back, fraudulent, suspicious, duplicate, test, self-referred, or otherwise noncompliant transactions. DietsMD may reverse or withhold related commissions.

4. Payments and taxes

Approved commissions become eligible for payment under Net 30 terms after the affiliate reaches the $50 minimum threshold. Affiliates are responsible for required tax and payment documentation and for their own tax obligations. Payment may be delayed while required information remains incomplete.

5. Advertising disclosures

Affiliates must clearly and conspicuously disclose their financial relationship with DietsMD in every endorsement. The disclosure must appear with the endorsement, before any "more" cutoff, and be easy to notice and understand. Clear examples include "Ad," "Sponsored by DietsMD," and "DietsMD affiliate link - I may earn a commission." Video and livestream disclosures must be presented in a manner viewers can see and understand.

6. Medical and health claims

Affiliates are marketers, not medical providers. Affiliates may not diagnose viewers, determine treatment eligibility, provide individualized medical advice, guarantee a prescription or result, or make unapproved health, efficacy, or safety claims.

Affiliates may accurately state that DietsMD offers physician-guided or clinician-guided programs; customers complete a health assessment; a licensed medical provider evaluates the customer; prescription treatment is available only when medically appropriate; and medications are dispensed through a U.S.-based pharmacy when factually accurate.

Affiliates may not describe a compounded medication as FDA-approved, a generic version of, identical to, or clinically proven equivalent to an FDA-approved drug. Affiliates may not state that FDA approves or licenses a dispensing pharmacy or that "U.S.-based pharmacy" means a medication or all ingredients were manufactured in the United States.

BPC-157 may not be promoted unless DietsMD provides written authorization and product-specific approved language after legal and clinical review.

7. Testimonials and personal experiences

Testimonials must be honest and genuine. Affiliates may not fabricate or exaggerate results, present an individual outcome as typical without substantiation, use another person's image or medical information without documented permission, or communicate a claim that DietsMD could not lawfully make directly. Before-and-after content requires prior written approval.

8. Brand and content requirements

Affiliates may use only current DietsMD-approved logos, graphics, claims, captions, pricing, and offers. Affiliates may not impersonate DietsMD, a pharmacy, or a medical provider; create misleading domains or profiles; publish fake reviews, false scarcity, unsupported statistics, or misleading price comparisons; or collect medical information on behalf of DietsMD.

9. Paid advertising

Written DietsMD approval is required before running paid advertising. Without written approval, affiliates may not bid on DietsMD trademarks or misspellings, use DietsMD marks in domains or account names, retarget DietsMD visitors, run ads from a DietsMD-branded account, or send paid traffic directly to a medical intake or checkout page. All advertising must comply with applicable healthcare, prescription-drug, targeting, and personal-attribute policies.

10. Email, text, outreach, coupons, and incentives

Affiliates may not send unsolicited commercial email, texts, automated calls, or direct messages. Permitted outreach must identify the sender, disclose the affiliate relationship, use lawfully collected contact information, and provide required opt-out methods. Affiliates may not upload DietsMD customer information to advertising platforms or contact patients on DietsMD's behalf.

Only authorized offers and codes may be promoted. Affiliates may not offer cash back, rebates, gifts, or other incentives without written approval; use expired or altered codes; misrepresent standard pricing as temporary; or interfere with another affiliate's attribution.

11. Monitoring and enforcement

DietsMD may monitor affiliate content and traffic sources, request revisions or removal, suspend links or dashboard access, withhold or reverse affected commissions, or terminate participation. Serious violations - including fraud, fabricated claims, missing disclosures, impersonation, or unauthorized medical claims - may result in immediate termination.

12. Intellectual property, privacy, and confidentiality

DietsMD grants approved affiliates a limited, nonexclusive, revocable, nontransferable right to use authorized brand materials solely for approved program promotion. Affiliates acquire no ownership rights and must stop using the materials when participation ends.

Affiliates may not collect medical information on behalf of DietsMD or represent unofficial forms or messages as secure DietsMD intake channels. Confidential business, commission, customer, and program information must be protected and used only for authorized activity.

13. Changes and termination

DietsMD may change commission rates, eligible products, tracking rules, promotional requirements, or other program terms. When practical, material changes will be communicated by email or through the affiliate dashboard. Either party may end participation at any time. Valid commissions earned before termination remain subject to these Terms, fraud review, reversals, and applicable law.

14. Legal provisions

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Affiliates are responsible for laws applicable to their content, audience, location, and channels. To the extent permitted by law, affiliates agree to indemnify and hold DietsMD and its service providers harmless from claims arising from unlawful, misleading, unauthorized, or noncompliant affiliate conduct.

If any provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. These Terms, together with incorporated program policies, form the agreement governing affiliate participation.
